How to Make Changes to a Florida LLC in 2026: Amendments, Updates, and Filings

Florida LLC owners frequently need to update their business information after formation - name changes, address updates, new members, registered agent changes. Here is exactly how each type of change works and what it costs.

A Florida LLC is not a set-it-and-forget-it entity. As your business grows and circumstances change, you may need to update the information on file with the Florida Division of Corporations - a new name, a different address, changes in membership, or a new registered agent. Across Tampa Bay and throughout Florida, these updates are a routine part of business ownership, and handling them correctly ensures your LLC stays in good standing.

This guide covers the six most common types of Florida LLC changes, the exact process for each, and the filing fees involved in 2026.

The Two Types of Florida LLC Changes

Changes to a Florida LLC generally fall into two categories:

  • Amendments to the Articles of Organization: Changes that affect the core formation documents on file with the Division of Corporations. These require filing Articles of Amendment at Sunbiz.org.
  • Annual report updates: Certain information (principal address, registered agent, authorized representative) can be updated through the annual report without a separate amendment filing - but only if the annual report is not overdue.

Understanding which type applies to your situation determines how quickly and inexpensively the change can be made.

Change 1: Changing Your Florida LLC Name

Changing your LLC's legal name requires filing Articles of Amendment with the Florida Division of Corporations. Before filing, confirm that your new name is available - it must be distinguishable from all other entity names on file in Florida. Search name availability at Sunbiz.org before you commit.

Process:

  • Search name availability on Sunbiz.org
  • File Articles of Amendment (Form LLC-3) at Sunbiz.org or by mail to the Division of Corporations
  • Filing fee: $25
  • Standard processing: 3-5 business days; expedited options available

After the name change is filed, update your bank accounts, contracts, licenses, insurance policies, and any other documents that reference the old name. The Articles of Amendment create the new legal name, but they do not automatically update every document that uses the LLC.

Changing your LLC name does not change your federal EIN or your trademark rights. If you have a registered trademark in the old name, consult a trademark attorney before completing the name change. A name change at the state level does not affect existing federal trademark registrations.

Change 2: Changing Your Principal or Mailing Address

Address changes can typically be made through the Florida annual report without filing a separate amendment - but only if you file the annual report with the updated address before May 1 of the applicable year. If you need to update an address outside of the annual report cycle, you can file an amended annual report at any time during the year through Sunbiz.org.

If the address that needs updating is the registered agent's address (not just the principal office), see the registered agent change process below - that requires a different filing.

  • Update through annual report: no additional fee beyond the $138.75 annual report fee
  • If updating via amended annual report mid-year: $138.75
  • Registered agent address changes: require a Statement of Change filing ($25)

Change 3: Changing Your Registered Agent

Updating the registered agent requires filing a separate document - not just the annual report. Florida Statute Section 605.0113 governs registered agent requirements, and a formal change requires:

  • File a Statement of Change of Registered Agent and/or Registered Office (Form RA-2) at Sunbiz.org.
  • The new registered agent must consent to the appointment. Many professional registered agent services handle this automatically when you sign up.
  • Filing fee: $25
  • Processing: typically reflected in the Division of Corporations' records within 3-5 business days

If the current registered agent has resigned or is no longer available, the LLC has 30 days to appoint a replacement. Do not let this lapse - a Florida LLC without a registered agent is at risk of administrative dissolution.

Change 4: Adding a New Member to a Florida LLC

Adding a new member to an existing Florida LLC is primarily a matter of amending the operating agreement - not an automatic Division of Corporations filing. The membership changes are an internal governance matter governed by the LLC's operating agreement and Florida Chapter 605.

However, if the LLC's Articles of Organization listed specific members (some LLCs do include member information), an Articles of Amendment may be required to update that information. For most Florida LLCs formed after 2014, the Articles of Organization list managers or authorized representatives rather than all members, so an internal operating agreement amendment is sufficient.

Steps to add a new member:

  • Review the operating agreement for provisions on admitting new members and the required vote or consent.
  • Document the admission in a formal written resolution or amendment to the operating agreement, signed by all current members (or the percentage required under the operating agreement).
  • Issue a capital account entry or ownership certificate to the new member.
  • Update any state or federal documents if the new member changes the tax classification or triggers other compliance requirements.
  • Consider a Section 754 election for multi-member LLCs when a new member purchases an interest from an existing member. Consult a tax professional.

Adding a member without updating the operating agreement is a common and costly oversight. The operating agreement governs how profits are split, who can make decisions, and what happens if a member leaves. Update it every time membership changes.

Change 5: Removing a Member from a Florida LLC

Removing a member is more complex than adding one and depends heavily on the operating agreement's provisions. Florida Chapter 605 provides default rules, but a well-drafted operating agreement will override those defaults with more specific processes.

Common scenarios for member removal and the relevant process:

  • Voluntary departure: The departing member wants to leave. The operating agreement should specify the buyout process, valuation method, and payment terms. The member's interest is purchased by the remaining members or the LLC itself.

  • Forced buyout or involuntary removal: Requires specific authority in the operating agreement. Florida's default rules do not provide a simple mechanism for forcing out an unwilling member.

After any member removal, update the operating agreement, update capital accounts, and assess whether any filings with the Division of Corporations are necessary.

Change 6: Converting a Manager-Managed LLC to Member-Managed (or Vice Versa)

The Articles of Organization for a Florida LLC specify whether the LLC is member-managed or manager-managed. Changing this designation requires filing Articles of Amendment to update the management designation on file with the Division of Corporations.

  • Amend the operating agreement to reflect the change
